Terms Of Sale And Other Comments

These Terms of Sale apply to all quotations, proforma invoices, invoices, orders, sales, exports, deliveries, and transactions conducted by NR Energy Tech Trading CC (“Seller”) with any purchaser, importer, distributor, reseller, contractor, company, or individual (“Buyer”).

By placing an order, accepting a quotation, making payment, or accepting delivery, the Buyer acknowledges and agrees to these Terms and Conditions in full.

1. Payment terms

The Buyer must verify all quotation, proforma invoice, and invoice details before making payment.

Payment Requirements

  • 100% upfront payment is required before shipment.
  • No goods shall be dispatched until full cleared funds have been received.
  • All bank charges outside Namibia are for the Buyer’s account.
  • Payments must be made in the invoiced currency unless otherwise agreed in writing.
  • Orders are deemed confirmed only once payment has been received and cleared.

2. Pricing

  • All quotations are subject to stock availability and validity periods stated on the quotation.
  • Prices may be adjusted where exchange rate fluctuations, supplier increases, freight increases, taxes, duties, or government levies affect costs before payment is received.
  • Any pricing error may be corrected by the Seller before shipment.

3. Export documentation

The Seller shall provide standard export documentation where applicable, including:

  • Commercial Invoice
  • Packing List
  • Export Declaration Documentation
  • Certificate of Origin (if requested and available)

Any additional documentation required by the importing country, customs authority, government agency, bank, inspection authority, or importer shall be provided at the Buyer’s expense.

4. Incoterms

Unless otherwise agreed in writing, all export transactions shall be conducted under:

DAP (Delivered at Place) – Incoterms® 2020

Under DAP:

  • The Seller is responsible for arranging and paying for transportation of the goods to the agreed destination stated on the quotation, proforma invoice, invoice, or sales agreement.
  • Risk transfers from the Seller to the Buyer when the goods are made available for unloading at the agreed destination.
  • The Seller is not responsible for unloading the goods.
  • The Buyer is responsible for import customs clearance.
  • The Buyer is responsible for obtaining all import permits, licenses, approvals, and authorizations.
  • The Buyer is responsible for payment of all customs duties, VAT, import taxes, levies, inspection charges, customs brokerage fees, storage charges, and any other charges imposed in the destination country.
  • Any costs resulting from customs delays, inspections, regulatory requirements, or non-compliance with import regulations shall be for the Buyer’s account.

Where another Incoterm is agreed in writing, the agreed Incoterm shall prevail.

5. Delivery and shipping

Delivery dates are estimates only and are not guaranteed.
Delivery under DAP shall be deemed complete when the goods arrive at the agreed destination and are made available to the Buyer for unloading.

The Seller shall not be liable for delays caused by:

  • Shipping lines
  • Freight forwarders
  • Border delays
  • Customs inspections
  • Port congestion
  • Government actions
  • Weather conditions
  • Force majeure events

Any delays caused by customs clearance, import procedures, inspections, or the Buyer’s failure to provide required documentation shall not constitute a breach by the Seller.

The Buyer shall be responsible for all additional costs arising from customs delays, storage charges, demurrage, detention charges, inspections, or regulatory actions in the destination country.

6. Transfer of risk

Risk of loss or damage transfers to the Buyer when the goods are placed at the Buyer’s disposal at the agreed destination, ready for unloading, in accordance with DAP (Delivered at Place) Incoterms® 2020.
Once risk has transferred, any loss, theft, damage, destruction, or deterioration of the goods shall be for the Buyer’s account.

7. Insurance

Unless specifically agreed in writing:

  • Goods are not insured by the Seller.
  • The Buyer is encouraged to arrange cargo insurance covering the full replacement value of the goods.

The Seller accepts no liability for uninsured losses during transit.

8. Import permits and regulatory compliance

The Buyer is solely responsible for:

  • Import permits and licenses.
  • Product registrations and approvals.
  • Compliance with destination country regulations.
  • Customs declarations and regulatory requirements.
  • Payment of duties, taxes, levies, and related charges.

The Seller shall not be liable for seizure, detention, rejection, destruction, confiscation, penalties, or delays resulting from the Buyer’s failure to comply with applicable regulations.

9. Inspection of goods

The Buyer must inspect all goods immediately upon receipt.
Any shortages, damages, defects, or discrepancies must be reported in writing within seven (7) calendar days after delivery.
Failure to provide written notice within this period shall constitute acceptance of the goods.

10. Product specifications

Product specifications, dimensions, weights, drawings, technical information, images, and descriptions are provided for guidance purposes only.
The Seller reserves the right to make reasonable modifications to products or specifications without prior notice.

11. Warranty

Products supplied by the Seller are subject to the Seller’s Warranty Policy in force at the date of sale.
Warranty claims must comply with all warranty requirements, including installation, operation, maintenance, and documentation requirements.
The Seller’s Warranty Policy forms an integral part of these Terms of Sale.

12. Returns and refunds

Returns are governed by the Seller’s Returns and Refund Policy.

Unless required by law:

  • Special-order products are non-returnable.
  • Custom-manufactured products are non-returnable.
  • Freight charges are non-refundable.
  • Export-related costs remain for the Buyer’s account.

No returns shall be accepted without prior written approval from the Seller.

13. Limitation of liability

The Seller’s total liability arising from any transaction shall not exceed the invoice value of the goods supplied.
Under no circumstances shall the Seller be liable for:

  • Loss of profits
  • Loss of revenue
  • Business interruption
  • Loss of contracts
  • Indirect damages
  • Consequential damages
  • Special damages

This limitation applies regardless of the legal basis of any claim.

14. Force majeure

The Seller shall not be liable for any failure or delay caused by events beyond its reasonable control, including:

  • Natural disasters
  • Floods
  • Fires
  • War
  • Civil unrest
  • Government restrictions
  • Sanctions
  • Pandemics
  • Transportation disruptions
  • Labour disputes
  • Utility interruptions

Performance obligations shall be suspended for the duration of the force majeure event.

15. Export control and sanctions compliance

The Buyer warrants that products purchased shall not be:

  • Used for unlawful purposes.
  • Exported or re-exported in violation of applicable sanctions laws.
  • Supplied to prohibited parties or restricted destinations.
  • Used in prohibited military or restricted applications where prohibited by law.

The Buyer assumes full responsibility for compliance with applicable export control laws.

16. Cancellation of orders

Orders may not be cancelled after payment has been received and procurement, manufacturing, or processing has commenced unless approved in writing by the Seller.

Approved cancellations may be subject to:

  • Administrative fees
  • Restocking fees
  • Supplier cancellation charges
  • Banking charges
  • Exchange rate losses

17. Retention of title

Ownership of goods shall remain vested in the Seller until full payment has been received and cleared.

18. Governing law

These Terms of Sale shall be governed and interpreted in accordance with the laws of the Republic of Namibia.
Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts of Namibia.

19. Entire agreement

These Terms of Sale constitute the entire agreement between the Seller and the Buyer and supersede all prior discussions, representations, communications, and agreements relating to the sale and export of goods.

Buyer acknowledgement

By placing an order, making payment, accepting shipment, or accepting delivery, the Buyer confirms that they have read, understood, and accepted these Export Terms of Sale and Conditions in full.

Warranty Policy

All warranties are provided on a carry-in basis only.

1. Introduction

This Warranty Policy governs all products supplied by ETS Distributors and applies to inverters, batteries, solar panels, electrical equipment, and related products sold by ETS Distributors.

2. Warranty coverage

Warranty periods commence from the original purchase invoice date and apply only to the original purchaser. ETS Distributors facilitates warranty claims on behalf of customers, however final warranty decisions remain with the manufacturer, importer or authorized repair facility. If repairs cannot be conducted locally at the time, the product will need to be sent to the South African repair center for repairs.

3. Installation requirements

  • Installation must be performed by a qualified electrician.
  • A valid Certificate of Compliance (COC) is required.
  • Installation must comply with SANS 10142 and applicable regulations.
  • Detailed installation photographs, proof of installation, and supporting documentation may be required.
  • SSEG approval may be required by local authorities.

4. Warranty registration

Customers must register warranties where required by ETS Distributors or the manufacturer. Failure to register products may result in warranty claims being rejected.

5. Warranty claim procedure

  • Prior authorisation is required before returning products.
  • Proof of purchase, serial numbers and installation documentation may be required.
  • Assessment periods may take up to 21 working days.
  • Supplier repair lead times may take up to 30 working days.
  • No free backup units will be provided.

6. Warranty exclusions

Warranty shall be void for damage caused by:

  • Power surges, under-voltage, over-voltage and lightning.
  • Corrosion, sea spray, condensation, water, dust, sand and excessive heat.
  • Insects, rodents, lizards or animal damage.
  • Negligence, abuse, mishandling or physical damage.
  • Incorrect installation or installation by unqualified persons.
  • Incorrect cable sizing, incorrect protection devices or non-compliant wiring.
  • Mixing AC and DC cables in the same trunking where prohibited.
  • Product overloading or exceeding manufacturer ratings.
  • Tampering with serial numbers, labels or security seals.
  • Lack of maintenance or dirty filters.

7. Warranties

  • All products sold by ETS Distributors carry manufacturer-backed warranties from date of purchase.
  • Warranty is valid only for products purchased from ETS Distributors.
  • Products will be assessed by an approved repair facility and a fault analysis report may be issued.
  • ETS Distributors does not accept liability for accessories, software, cables, manuals or peripherals submitted with warranty items.
  • ETS Distributors does not accept liability for incorrect selection, installation, erection, commissioning or application of products.
  • Components damaged by negligence, lightning, power surges, liquid damage, dirt, heat, overloading, misuse or abuse are excluded from warranty.

8. Transportation

All warranties are carry-in warranties. Customers are responsible for delivery and collection of warranty items. ETS Distributors does not provide collection or delivery services unless agreed otherwise in writing.

9. Returns and restocking

ETS Distributors reserves the right to refuse returns or charge a restocking fee of not less than 30%. Credits, where applicable, will be calculated at the lesser of the original selling price or current market value.

10. Collection of goods

Items not collected within 30 days after notification of completion may be sold to recover storage, repair and administration costs where permitted by law.

11. Maintenance

Annual servicing and inspections by qualified personnel are recommended to ensure safety, performance and longevity.

12. Limitation of liability

ETS Distributors shall not be liable for consequential losses, business interruption, loss of profits, transport costs, labour costs or damages arising from incorrect installation, misuse or operation of products.

Returns, Refunds & Exchanges Policy

1. Purpose

This Returns, Refunds and Exchanges Policy should be read and understood together with our officially published Warranty Policy which governs all products supplied by ETS Distributors.

2. General policy

ETS Distributors supplies products sourced from local and international manufacturers and distributors. All returns, refunds, exchanges and warranty claims are subject to inspection, testing, supplier approval, manufacturer warranty terms, product availability and this policy.

3. Product inspection upon delivery

Customers must inspect products immediately upon receipt. Any shortages, damage, defects or discrepancies must be reported in writing within 24 hours and supported by photographs.

4. Return eligibility

Products may only qualify for return if accompanied by proof of purchase, original packaging, accessories and are returned in substantially the same condition as supplied.

5. Serial number verification

All returned products will be verified against ETS records and manufacturer records.

6. Non-returnable products

Installed, commissioned, used, modified, damaged, custom-ordered or special-order products are generally non-returnable.

7. Open box products

Open-box inverters, batteries, solar and electrical equipment may only qualify for exchange or refund if verified as unused and uninstalled.

8. Warranty seals

Products with broken, removed or altered warranty seals may lose all warranty rights.

9. Out of box failure claims

Installed or commissioned products do not automatically qualify as Out-of-Box Failure claims and remain subject to technical assessment.

10. Exchanges

Exchanges are subject to stock availability, supplier approval and technical assessment.

11. Local repairs and replacements

Products may require return to South African suppliers, manufacturers or repair centres. Additional delays and logistics costs may apply.

12. Refunds

Refunds are processed only after inspection, verification and approval where applicable.

13. Change of mind returns

Unused products in original packaging may be accepted at ETS Distributors’ discretion and may attract a minimum 15% restocking fee.

14. Shipping and logistics costs

Return shipping, freight, insurance, customs and related costs are generally for the customer’s account.

15. Transit damage

Transit damage must be reported immediately upon receipt.

16. Warranty claims

Warranty claims remain subject to manufacturer assessment, supplier assessment and product testing and all claims are subject to be processed as per our officially published “warranty policy”.

17. Extended warranty claims

Extended warranties follow the same assessment procedures as standard warranties.

18. Assessment periods

Assessment and repair periods may range from 7 to 30 working days or longer where products are sent abroad.

19. Strict exclusions

No refunds, exchanges or returns apply to products that have been installed, used, modified, damaged or improperly installed.

20. Limitation of liability

ETS Distributors shall not be liable for consequential damages, loss of income, downtime or indirect losses. Liability is limited to the purchase price of the product.

21. Policy changes

ETS Distributors reserves the right to amend this policy at any time.

Export pricing policy for Namibian customers

This Export Pricing Policy explains the pricing principles applied to goods exported from South Africa to customers in Namibia. Export transactions involve additional costs, risks, compliance obligations and operational requirements that do not apply to domestic South African sales. Accordingly, export pricing may differ from South African local pricing, promotional pricing, project pricing or distributor pricing.

Purpose

To provide transparency regarding export pricing and explain why Namibian customers cannot automatically receive the same pricing offered within South Africa.

Export Pricing Principle

All quotations for Namibian customers are calculated as export transactions and are priced independently from South African domestic sales.

Export Administration Costs

Export transactions require additional documentation, customs paperwork, compliance administration, order processing, export invoicing, record keeping and shipment coordination.

Border Clearing and Forwarding Charges

Cross-border shipments may incur customs clearing, forwarding, inspection, border processing, documentation and related administrative costs.

Freight and Logistics Costs

Export deliveries typically involve additional packaging, handling, transport coordination, freight management, shipment tracking and delivery administration.

Currency and Exchange Rate Risk

Export pricing may include provision for exchange rate fluctuations, supplier price adjustments, banking costs and currency-related risks.

Banking and Payment Costs

Cross-border transactions may involve additional banking fees, payment verification costs, compliance requirements and international transaction charges.

Inventory, Warehousing and Stock Holding Costs

Export operations often require separate inventory planning, warehousing, procurement management and stock allocation to ensure product availability for foreign customers. Cross-Border Warranty and Support Costs

Warranty administration, technical support, product returns, replacement logistics and after-sales support generally cost more when customers are located outside South Africa.

Compliance and Regulatory Requirements

Exported products may require additional certificates, declarations, customs compliance procedures and adherence to import requirements.

Different Distributor and Manufacturer Pricing Structures

Manufacturers may apply different pricing structures, rebate programs, incentives, support arrangements or sales conditions for export markets compared to domestic South African sales.

Lower Market Volumes

The Namibian market is generally smaller than the South African market. Lower sales volumes can reduce economies of scale and increase the cost of servicing export customers.

Credit and Commercial Risk

Export transactions may expose the seller to additional commercial, payment recovery and credit risks that must be considered when determining pricing.

South African Promotional and Special Pricing

Promotional offers, clearance sales, project pricing, special tenders, regional incentives and local marketing campaigns available within South Africa may not be applicable to export transactions.

VAT and Export Transactions

Although qualifying exports may be treated differently for VAT purposes under applicable legislation, the absence of South African VAT does not eliminate the substantial costs associated with exporting goods to Namibia. Taking into consideration Zero Rated VAT transactions, where the seller has to bridge finance VAT paid to the manufacturer, until such time as the seller’s VAT paid can be claimed back successfully from the local tax authorities.

Market Separation

Namibia is served as a separate export market and is not part of the South African domestic distribution structure. Export pricing therefore cannot be directly compared with South African local pricing.

Customer Acknowledgement

By accepting a quotation, placing an order or making payment, the customer acknowledges that export pricing is determined independently of South African domestic pricing and reflects the additional costs, risks and obligations associated with international trade.

Reservation of Rights

The company reserves the right to amend this policy and adjust export pricing structures without prior notice, subject to applicable law and any existing contractual obligations.
